Registered Office Address

The registered office of a company is a place to which all official communications pertaining to a Company is sent. In addition to a registered office, a company can have an corporate office or administrative office or branch office or factory, etc. However, only the registered office of the Company needs to be registered with the Ministry of Corporate Affairs. All other offices or additional locations can be opened by a company without any intimation to the ROC.

The registered office of the Company will also determine the domicile of the company (State of Incorporation). Any change of address of Registered Office must be notified to the Registrar of Company (ROC) within 15 days.

Step 1:

Step 2:

A consent from the owner of the premises is required for use of address as the registered office address of the company

​

We file the Intimation of Change in Form INC-22

In case company has changed its registered office within local limits of the same city or place, intimation regarding the same has to be filed in Form INC-22 within 15 days.

In case of change of registered office of a company, outside the local limits of any city, town or village, then the change of registered office must be approved by a special resolution passed by the Company. First eForm MGT-14 needs to be filed to intimate the special resolution and then eForm INC-22 are required to be filed to Registrar of Companies (ROC) to give effect to such change

 

In case, company wants to shift the registered office from one state to another state or from jurisdiction of one RoC to another, it needs to file following forms to give effect to such change:

1) Form MGT-14 - Filing the special resolution of shareholders

2) Form INC-23 - Application to Regional Director for Approval of Shift of Registered Office

3) Form INC-22 - Intimation of Change of Registered Office.
